Southwest Business Consultants, Inc. is a business consultant to entrepreneurs, start-ups, small and mid-sized businesses wanting to strategically plan, develop, finance, or execute in some manner, or even cash-out of an enterprise. Our specialty is Corporate financial structures and strategic planning. We will do an original corporation with the design, incorporation, Bylaws, Minutes and consulting, or we have Aged Corporations, or Aged Limited Liability Companies, with one to 150 shareholders for acquisition. We do mergers, acquisitions, re-organizations, and prepare companies to go public. We are seeing more entrepreneurs positioning themselves to merge with an “Aged Developmental Shelf Corporation” and raise money from friends, relatives, accredited investors, and close associates, and prepare to “go public” with a longer time frame. Our offices have been in Henderson, Nevada since 2007. (See “About Us”).

We have expanded our services over the years depending upon the needs of our clients, and our accumulated experiences. We offer Consulting services, the forming of new business entities, and the ability to merge an existing business into one of our corporate "Aged Developmental Shelf Corporations" to meet a specific business goal. We can provide assistance in raising equity capital, provide Private Placement Memorandums, and Business Plans. We are not accountants or attorneys in any state in the United States (See “Disclosures”), but we work with our clients and other professionals to meet our client’s needs. We have found that the greatest challenge for our clients who wish to raise capital from friends, family, business associates, or accredited investors, in a private placement, or eventually "go public," is their lack of accounting records, and the ability and cost, to audit their books. We have been there many times, and we understand the challenge and many possible solutions.

In working with our clients, we approach every entrepreneur, business client/owner as an individual, with different goals, and motivated by many things, some of which have nothing to do about making money. There are many levels of aggressiveness and risk taking. We access where our client is on this scale, and work with the client, at the client's pace, and tailor our consulting advice as to our understanding of that individual client, not making every decision like it was our enterprise with our level of education, experience, sophistication, and risk tolerance. Everyone is different.

We have had business experiences as diverse as participating in a reverse merger in China where our client was a fully registered 12(g) publicly traded U.S. American oil & gas production company acquiring a privately held Chinese (ball) bearing manufacturing company in China; putting together a sale/purchase of an investment company in Springfield, Missouri, where we moved into a hotel for a week preparing corporate minutes, tax returns, visiting bankers, and negotiating final terms and conditions of the sale/purchase between the principals; or successfully leading a hostile take-over of a publicly traded oil and gas company.

Southwest Business Consultants, Inc. has a tremendous amount of experience in founding, buying, developing, operating, merging, and selling businesses. We understand how to raise capital and finance an enterprise. We understand the difference between making a profit on paper and surviving the cash flow challenges of operating a business. We have a lot of experience in real estate (development and sales), construction, and the energy business (oil and gas, and clean coal technologies). Since 1994, we have been consulting with entrepreneurs, small and mid-sized corporations from start-up, to development, to either selling, merging the enterprise or “going public.”
