Founder & Lead Consultant
With over three decades of entrepreneurial, operational, and financial structuring experience, our founder has guided businesses across diverse sectors, including real estate, construction, oil & gas, and investment management. His hands-on leadership includes founding, acquiring, and restructuring companies, with a focus on reverse mergers, aged corporations, and early-stage consulting.

From overseeing a reverse merger in China to managing hostile takeovers and coordinating domestic acquisitions, he brings deep insight into corporate transactions and the practical realities of building and scaling a business.

Differences between types of Business Organizations

A fairly recent development in business formations is a Limited Liability Company (LLC). An LLC is a hybrid between a partnership and a corporation in that it combines the “pass-through” treatment of a partnership with the limited liability accorded to the corporate shareholders. Wyoming, in 1977, was the first state in the United States to create a limited liability company. Florida followed in 1982. The first Limited Liability Company was created specifically to assist in the development of oil and gas resources. The expansion into other states and use by other industries was slow until the Internal Revenue Service in 1988 finally ruled that a limited liability company could be taxed as a partnership rather than as a corporation. As a result of this monumental tax decision, there has been an explosion in the number of states which now permit limited liability companies to be formed under their laws.
